Welcome to Intralytix, Inc.'s website (the "Site"). The following terms and conditions (these "Terms of Service") govern your access to and use of the Site, including any content, functionality, and services offered on or through the Site, whether as a guest or a registered user.

Please read the Terms of Service carefully before you start to use the Site. By using the Site, opening an account, or clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, found at privacy-policy, incorporated herein by reference. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Site.

This Site is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using this Site, you represent and warrant that you are of legal age to form a binding contract with Intralytix, Inc., meet all of the foregoing eligibility requirements, and are not barred from using the Site under applicable law. If you do not meet all of these requirements, you must not access or use the Site.

Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Intralytix, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service permit you to use the Site for professional, institutional, and non-commercial use. "Professional use" includes research, data management, and analysis conducted in a professional or academic capacity. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Site for your own professional, non-commercial use and not for further reproduction, publication, or distribution.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own professional, non-commercial use and not for further reproduction, publication, or distribution.

You are not permitted to:

  1. Modify copies of any materials from the Site.
  2. Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  3. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.
  4. Use the Site to develop a competing product or service.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of the Terms of Service, your right to use the Site will stop immediately, and you must, at our option, return or destroy any copies of the materials you have made. Any unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes.

Unless explicitly stated herein, nothing in these Terms of Service shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise.

User and Research Content

The Site may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, photographs, videos, and audio (collectively, "User Content"), as well as scientific data, sequences, titers, and other research-related information (collectively, "Research Data").

Ownership: You retain all rights, title, and interest in and to the User Content and Research Data you make available through the Site. Intralytix, Inc. does not claim ownership of your Research Data.

License to Intralytix: By making User Content or Research Data available through the Site, you grant to Intralytix, Inc. a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, distribute, and publicly display such content.

AI Training and Model Improvement: You further grant Intralytix, Inc. a perpetual, irrevocable, worldwide, royalty-free license to use de-identified, anonymized, and aggregated Research Data for the purposes of training, refining, and improving machine learning models, algorithms, and other artificial intelligence tools. This use shall be conducted in a manner that does not identify you, your institution, or any proprietary source of the data.

Representations and Warranties: You represent and warrant that: (i) you are the sole and exclusive owner of all User Content and Research Data, or you have all necessary rights, licenses, consents, and institutional authorizations required to grant the licenses herein; (ii) you have the legal authority to upload such data on behalf of your employer or institution; and (iii) the submission of such content will not infringe, misappropriate, or violate any third party's intellectual property rights, confidentiality agreements, or applicable laws and regulations.

Intralytix, Inc. does not endorse any User Content or Research Data, and expressly disclaims any and all liability in connection with such content. Intralytix, Inc. reserves the right to remove or moderate any content that, in its sole discretion, violates these Terms of Service or is otherwise objectionable.

Links to Other Web Sites

The Site may contain links to third-party websites or services that are not owned or controlled by Intralytix, Inc. Intralytix, Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. If you access a third-party website from the Site, you do so at your own risk, and you understand that these Terms of Service and Intralytix, Inc.'s Privacy Policy do not apply to your use of such sites. You expressly relieve Intralytix, Inc. from any and all liability arising from your use of any third-party website or services or access to your User Content by others. We encourage you to be cautious when clicking on links to third-party sites and to review the terms and privacy policies of any third-party sites you visit.

Additionally, your dealings with or participation in promotions of advertisers found on the Site, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Intralytix, Inc. shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

Warranty Disclaimer

THE SITE, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SITE-RELATED SERVICE, IS PROVIDED "AS IS," WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, SITE-RELATED SERVICES, AND LINKED WEBSITES. INTRALYTIX, INC. DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Not for Clinical or Diagnostic Use: The Site is intended for research and data management purposes only. It is not a validated laboratory instrument, nor is it intended for use in the diagnosis, cure, mitigation, treatment, or prevention of any disease in humans or animals. Any reliance on the Site for clinical or diagnostic purposes is strictly at your own risk.

Intralytix, Inc. makes no warranties or representations about the accuracy or completeness of the Site's content or the content of any sites linked to the Site and assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content and materials, (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Site, (iii) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to from the Site, (v) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Site by any third party, and/or (vi) any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Site.

Intralytix, Inc. does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Site, any linked website, or any Site-related service, and Intralytix, Inc. will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services.

Limitation of Liability

IN NO EVENT WILL INTRALYTIX, INC., ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

Research-Specific Limitation: Intralytix, Inc. shall not be held liable for any research failures, loss of biological samples, or intellectual property disputes arising from the upload, processing, or management of Research Data on the Site.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Intralytix, Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Site, Content, or Services.

Governing Law and Jurisdiction

These Terms of Service and your use of the Site are governed under the laws of the state of Maryland, without respect to its conflict of laws principles. Any legal action or proceeding arising under these Terms of Service will be brought exclusively in the federal or state courts located in Howard County, Maryland, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

Dispute Resolution

Any dispute arising from or related to these Terms of Service or the Site shall be resolved in accordance with the following dispute resolution provisions:

Informal Resolution: You and Intralytix, Inc. agree to first attempt to resolve any dispute between the parties through informal negotiation within thirty (30) days from the date that notice of the dispute is sent. A party sending notice of a dispute to the other party shall include a written statement that sets forth the name, address, and contact information of the complaining party, the facts giving rise to the dispute, and the relief requested.

Binding Arbitration: If the parties are unable to resolve the dispute through informal negotiation, either party may elect to have the dispute resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. The arbitration shall be conducted by the American Arbitration Association (the "AAA") under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall be held in the city of Columbia, Maryland. Notwithstanding the foregoing, either party may bring a claim in small claims court if the claim qualifies for such court.

Governing Law: The laws of the state of Maryland govern these Terms of Service and any dispute of any sort that might arise between you and Intralytix, Inc.

Miscellaneous

If any provision of these Terms of Service is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Intralytix, Inc.'s failure to enforce any right or provision in these Terms of Service shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

In the event of any conflict between these Terms of Service and any other agreement you may have with Intralytix, Inc., the terms of that other agreement will control only if these Terms of Service are specifically identified and declared to be overridden by such other agreement.

Intralytix, Inc. may assign these Terms of Service, in whole or in part, at any time without notice to you. You may not assign these Terms of Service or transfer any rights to use the Site.

These Terms of Service constitute the entire agreement between you and Intralytix, Inc. with respect to the use of the Site, Content, and Services.
